Pilot Access Non-Compete

Maiven Pilot Access Non-Competition and Non-Circumvention Agreement

This agreement covers use of non-public Maiven Studios access, product information, workflows, demos, exports, documentation, security controls, and pilot materials.

Participant: the individual or organization accessing this environment.

Effective time: when you check the non-compete acceptance box and sign in.

1. Purpose

You are receiving access to non-public Maiven materials so you can evaluate, pilot, configure, review, author, publish, or internally test Maiven learning-content workflows. This access is limited to that approved pilot or business purpose.

2. Restricted Use Of Non-Public Maiven Information

You may not use non-public Maiven information, screenshots, workflows, source materials, exports, prompts, product strategy, security details, or pilot documentation to design, build, train, market, or improve a competing authoring platform, AI course-builder, learning-content conversion tool, review workflow, or publishing workflow.

3. Non-Circumvention

You may not use pilot access to bypass Maiven, solicit Maiven pilot customers or partners through information learned only from this environment, or recreate confidential Maiven workflows for a third party without written permission from Erudite Media.

4. Limited Scope

This agreement does not restrict general skills, prior knowledge, public information, independently developed work that does not use non-public Maiven information, or activity that applicable law does not allow to be restricted. If a court or regulator limits a restriction, the parties intend the restriction to apply only to the maximum lawful extent.

5. Duration

The restricted-use and non-circumvention duties apply during pilot access and for twelve months after access ends, unless a different written agreement signed by Erudite Media applies.

6. Relationship To NDA

This non-compete agreement is in addition to, not a replacement for, the Maiven Pilot Access Non-Disclosure and Evaluation Agreement. The NDA continues to govern confidentiality, protection duties, return or deletion, and remedies.

7. Electronic Acceptance

By checking the non-compete box and signing in, you confirm that you have read this agreement, understand it, and are authorized to accept it for yourself and, if applicable, for the organization on whose behalf you are accessing Maiven.

Counsel review required: non-compete and non-circumvention terms are jurisdiction-sensitive. Erudite Media should have counsel review this agreement before relying on it for production or customer-facing use.
